Terms and Conditions for Head On Agency

  1. Services

Head On Agency provides digital marketing services including SEO, PPC advertising, social media marketing, content creation, and web design. Details are in a separate Statement of Work (SOW). Services are under construction and will be available soon.

  1. Client Responsibilities

Clients must provide accurate information and materials for service delivery and ensure compliance with laws and third-party rights.

  1. Payment Terms

Payment terms are in the SOW, with invoices due within 15 days. Late payments incur a 1.5% monthly fee (or legal maximum) and may lead to service suspension after 30 days.

  1. Intellectual Property

Work product belongs to Head On Agency until paid in full, then transfers to the client, except for pre-existing or third-party materials. We may use completed work for portfolios.

  1. Confidentiality

Both parties must protect shared confidential information, disclosing only as required by law.

  1. Independent Contractor Relationship

Head On Agency is an independent contractor, not an employee or partner, handling our own taxes and liabilities.

  1. Termination

Either party may terminate with 30 days’ notice. Termination requires payment for prior services; we may terminate immediately for breaches like non-payment.

  1. Limitation of Liability

Liability is limited to amounts paid for services, with no responsibility for indirect damages like lost profits.

  1. Governing Law

Governed by Ontario, Canada, and federal Canadian laws, with disputes resolved in Toronto.

  1. Amendments

Terms may update; continued use of our site accepts these changes.
